1. Agreement and scope
These Brand Terms of Use apply to brands, advertisers, agencies, streamers and other customers that plan, fund, launch or manage campaigns through MixeLabs. By approving, funding or launching a campaign, you agree to these Terms, the applicable campaign order or brief, and the Privacy Policy.
2. MixeLabs service
MixeLabs provides infrastructure and campaign operations for performance-based creator marketing. Campaigns may include clipping, logo placement, native integrations, UGC, CTAs or other agreed formats. MixeLabs may source creators, administer submissions, track performance, verify eligible results and provide reporting.
Unless expressly agreed in writing, MixeLabs does not guarantee a particular creator, number of posts, view count, conversion level, revenue result or delivery date.
3. Budgets, pricing and funding
Campaign budgets, CPMs, caps, currencies, fees and commercial terms are established in the applicable proposal, invoice, dashboard or written campaign agreement. A campaign may require funding before launch. Estimates and calculator outputs are illustrative unless expressly incorporated into a written campaign order.
4. Eligible results and reporting
Brands are charged or campaign budgets are consumed according to the agreed performance model and eligible, verified results. MixeLabs may use APIs, third-party data providers, creator analytics and manual review to validate performance and may remove suspected fraudulent, duplicate or otherwise ineligible activity.
Social-platform metrics can change after publication and third-party platforms may revise or remove data. MixeLabs may correct reporting where reliable updated information shows a technical or measurement error.
5. Cancellation and refunds
A brand may request cancellation of a campaign. Unused campaign budget that has not been committed to or earned by creators may be eligible for refund. Budget already consumed by eligible creator performance, earned creator amounts, or other non-recoverable campaign commitments is not refundable.
MixeLabs will determine the unused refundable amount from the campaign records after accounting for eligible performance and commitments up to the effective cancellation time. Payment-provider, banking, foreign-exchange or other third-party fees may be non-refundable where MixeLabs cannot recover them.
6. Brand materials and instructions
The brand represents that it has the rights necessary to provide logos, trademarks, music, footage, links, claims, scripts and other campaign materials. The brand is responsible for the legality and accuracy of its product claims, offers and required disclosures.
MixeLabs may reject or pause campaign instructions that appear unlawful, deceptive, unsafe, infringing or incompatible with platform rules.
7. Creator content and usage rights
Creator submissions remain owned by their respective creators or rights holders. Brands may review and analyze submitted campaign content and campaign analytics for campaign evaluation and reporting.
A campaign does not automatically grant the brand rights to download, republish, edit, boost, whitelist, run as paid media, sublicense or otherwise reuse creator content beyond the agreed campaign placement. If a brand wants additional content usage rights, it must contact MixeLabs before use so the required creator permission or separate license can be arranged.
8. Brand responsibilities
- Provide accurate company and campaign information.
- Fund campaigns and pay invoices according to agreed terms.
- Do not request artificial engagement, deceptive claims or prohibited content.
- Do not attempt to bypass MixeLabs to avoid earned creator obligations or agreed fees relating to an active campaign.
- Respect creator rights and confidentiality of non-public campaign data.
9. Suspension and campaign changes
MixeLabs may pause or terminate a campaign where necessary because of non-payment, legal or platform risk, fraud, abusive conduct, technical problems or material breach. If MixeLabs ends a campaign without brand breach, unused funds will be handled under the cancellation section above.
10. Confidential information
Each party should use reasonable care with non-public business, pricing, creator, campaign and technical information received from the other party and use it only for the relevant business relationship, except where disclosure is required by law or the information is already public through no breach.
11. Disclaimers and limitation
Creator marketing depends on independent creators and third-party social platforms. MixeLabs does not control platform algorithms, outages, moderation decisions, account restrictions or audience behavior. No forecast, calculator, case study or historical campaign result is a guarantee of future performance. Nothing in these Terms limits liability that cannot legally be limited.
12. Governing framework and disputes
These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve disputes through written communication. Subject to mandatory law and any separately signed agreement, disputes will be handled by courts with appropriate jurisdiction in India.
